Codified Terms of Service
Sovereign statutory computational covenant binding institutional subscribers, licensed legal practitioners, and corporate general counsels utilizing the Shadow Beacon statutory concordance network.
“Shadow Beacon operates as an axiomatic statutory indexing and analytical instrument. It is licensed strictly for use by or under the direct supervision of licensed attorneys admitted to practice in good standing. Outputs do not constitute legal advice and do not establish an attorney-client relationship between Shadow Beacon and the user.”
§ 1.0 Scope of Sovereign Intelligence Services
ENACTEDShadow Beacon Sovereign Intelligence AG (“Shadow Beacon,” “Company,” or “Licensor”) provides an air-gapped, zero-RAM persistent statutory concordance engine designed to ingest, harmonize, cross-reference, and analyze statutory codifications, court dockets, legislative histories, and regulatory registers.
1.1 Authorized Provisioning: Access is provisioned exclusively through cryptographically isolated instances deployed on Sovereign Hardware Enclaves. The service is restricted to verified law firms, AmLaw 200 institutions, sovereign government legal departments, and corporate general counsels.
1.2 Scope Limitations: Services do not include the physical practice of law, appearance before any tribunal, or the independent exercise of legal judgment. All outputs are deterministic analytical syntheses intended for professional scrutiny by licensed counsel.
§ 2.0 Licensure & State Bar Verification (TRCP & ABA)
MANDATORYUse of the Shadow Beacon platform requires an affirmative representation of valid legal credentials. Each primary account holder must provide a verified State Bar license number in good standing across recognized United States jurisdictions or international equivalencies.
§ 2.1 Attestation of Texas Rules of Civil Procedure (TRCP) & ABA Model Rules:
By accessing this engine, user certifies compliance with ABA Model Rule 1.1 (Competence, including technological competence), ABA Model Rule 1.6 (Confidentiality of Information), and Texas Disciplinary Rule of Professional Conduct 1.05. No non-lawyer third parties may operate the sovereign indexing console absent direct oversight by supervising trial counsel.
Licensor reserves the autonomous right to verify credentials via state bar API registries on a continuous 30-day epoch. Suspended, disbarred, or non-attorney accounts will face immediate cryptographic revocation.
§ 3.0 Statutory Accuracy Warranty & Verbatim Guarantee
WARRANTYShadow Beacon warrants with strict mathematical precision that any statutory code, session law, or enrolled bill rendered via the concordance engine reflects the exact verbatim transcript published in the official legislative journal of record at the time of synchronization.
Axiomatic vector models prohibit synthetic generative drift on statutory language. Quoted sections contain 0.00% interpolated fiction.
Every statute is cross-verified against the Texas Legislative Reference Library and Federal Register repositories.
3.1 Safe Harbor for Citations: While Company warrants verbatim statutory reproduction, counsel maintains the professional burden to review judicial interpretation, shepardize controlling case precedent, and assess constitutionality in the relevant forum.
§ 4.0 Non-Custodial Processing & RAM Infrastructure
SECURITY GRADE 4The architecture of Shadow Beacon is fundamentally non-custodial. Briefs, confidential discovery production, witness depositions, and internal work products uploaded to the Concordance Console are processed strictly in volatile Random Access Memory (RAM).
- memory Zero Disk Persistence: No user documents or prompt vectors are written to secondary magnetic, solid-state, or optical storage mediums.
- delete_sweep Instant Session Purge: Upon browser detachment, session idle timeout, or explicit termination, volatile memory allocations undergo cryptographic DOD 5220.22-M overwrite cycles.
- shield Model Training Exclusions: Under no circumstance are client materials utilized to fine-tune, retrain, or augment public or private weights.
§ 5.0 Client Work-Product & Attorney-Client Privilege
PROTECTEDShadow Beacon acknowledges that materials processed via its infrastructure frequently embody protected attorney work-product under Federal Rule of Civil Procedure 26(b)(3), Texas Rule of Civil Procedure 192.5, and attorney-client confidential communications.
The processing of files through sovereign memory enclaves does not operate as a waiver of privilege. Licensor covenants that it is an instrument of transmission and computational indexing, maintaining an impenetrable technical boundary preventing third-party or government inspection absent an unappealable warrant issued by an Article III tribunal.
§ 6.0 Prohibited Practice & Unlawful Conduct
RESTRICTIONSUsers shall not exploit Shadow Beacon for:
§ 7.0 Fees, Institutional Subscriptions & LEDES Billing
FINANCIALInstitutional subscriptions are invoiced on an annual or multi-year sovereign seat schedule. All accounts include automated LEDES 1998B/E-Billing standard export files detailing compute hours, query volume, and matter attribution codes for pass-through client disbursements where ethical rules permit.
Failure to honor sovereign billing commitments within thirty (30) days of statement delivery constitutes a material default, terminating vault encryption keys and suspending real-time statutory sync pipelines.
§ 8.0 Disclaimers of Legal Advice & Trial Counsel Prerogative
DISCLAIMERSHADOW BEACON IS NOT A LAW FIRM, LITIGATION BOUTIQUE, OR CERTIFIED MEDIATOR. ALL COMPUTATIONAL ANALYSES, CONCORDANCES, AND CITATION MATRICES ARE PROVIDED STRICTLY “AS-IS” WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR JURY TRIAL STRATEGY.
THE INVOCATION OF TRIAL COUNSEL'S INDEPENDENT PROFESSIONAL JUDGMENT REMAINS SOLELY AND FULLY THE PREROGATIVE OF THE PRACTITIONER OF RECORD. THE SYSTEM DOES NOT RELIEVE COUNSEL OF ANY RESPONSIBILITY UNDER LOCAL RULES OF COURT.
§ 9.0 Limitation of Liability & Cryptographic Indemnity
LIABILITYTo the maximum extent permitted by applicable law, neither Shadow Beacon Sovereign Intelligence AG nor its licensors, affiliates, or cryptographic hardware partners shall be liable for indirect, incidental, punitive, or consequential damages resulting from adverse trial outcomes, procedural default judgments, lost profits, or lost discovery evidence.
Shadow Beacon's aggregate cumulative liability for any breach of this Agreement shall not exceed the total fees paid by the subscriber during the preceding twelve (12) month billing cycle.
§ 10.0 Dispute Resolution, Governing Law & Jurisdiction (Texas)
FORUM SELECTIONThis Agreement, its interpretation, and any dispute arising out of or related to the sovereign services shall be governed exclusively by the laws of the State of Texas, without regard to its conflict of law principles.
Any legal action or proceeding arising under this enactment shall be brought exclusively in the state or federal courts situated in Travis County, Texas (Austin), and parties irrevocably submit to the personal and subject-matter jurisdiction thereof, with appellate jurisdiction terminating at the Texas Supreme Court or the United States Court of Appeals for the Fifth Circuit.
§ 11.0 Severability & Entire Enactment
FINALITYIf any clause, covenant, or warranty contained within this Master Subscription Agreement is adjudged by a court of competent jurisdiction to be invalid or unenforceable, such holding shall not alter, impair, or invalidate the remainder of the terms, which shall continue in full force and effect.
These Codified Terms constitute the entire understanding and agreement between subscriber and Shadow Beacon, superseding all prior oral memoranda, sales demonstrations, or preliminary procurement questionnaires.
